Senior Contract Lawyer and Manager

We are seeking an experienced and detail-oriented Senior Contract Lawyer/Manager to join our team. This critical role will be responsible for reviewing, drafting, negotiating, and managing a wide range of vendor and customer contracts, primarily focusing on software licensing, SaaS agreements, professional services agreements, and related technology transactions. The ideal candidate possesses a strong understanding of contract law, excellent negotiation skills, and the ability to effectively communicate complex legal concepts to both internal and external stakeholders.
What Will You Be Involved With?
- Review, draft, and negotiate a variety of commercial agreements, including software licenses, SaaS agreements, professional services agreements, master service agreements (MSAs), non-disclosure agreements (NDAs), and other related contracts.
- Provide legal counsel and guidance to internal business teams on contract terms, risk assessment, and compliance with company policies and applicable laws and regulations.
- Collaborate with sales, finance, operations, and other departments to ensure contracts align with business objectives and legal requirements.
- Develop and maintain contract templates and playbooks to streamline the contracting process and ensure consistency.
- Manage contract lifecycle, including tracking key dates, obligations, and renewals.
- Negotiate complex contract terms with sophisticated counterparties, including large corporations and technology providers.
- Identify and escalate potential legal risks and propose creative solutions to mitigate those risks.
- Stay up-to-date on relevant changes in contract law, intellectual property law, and other applicable regulations.
- Contribute to the development and implementation of contract management best practices.
Potentially supervise and mentor junior contract team members (depending on experience and company structure).
What Will You Bring to the Table?
- Juris Doctor (JD) degree from an accredited law school and active license to practice law in India (for Lawyer title) OR Bachelor’s degree in a related field and extensive experience in contract management (for Manager title).
- Minimum of 5 years of experience in drafting, reviewing, and negotiating commercial contracts, with a significant focus on software and technology-related agreements.
- Deep understanding of software licensing models, SaaS agreements, intellectual property rights, data privacy regulations, and other relevant legal principles.
- Proven ability to negotiate complex contract terms with sophisticated counterparties.
- Excellent written and verbal communication skills, with the ability to clearly and concisely explain legal concepts to non-legal audiences.
- Strong analytical and problem-solving skills, with a keen attention to detail.
- Ability to work independently and as part of a team in a fast-paced environment.
- Experience with contract management systems (CMS) is a plus.
- Specific industry experience, e.g., experience in the financial technology space a plus
